The Debsulata Foundation (“Foundation,” “we,” “us,” or “our”) values partnerships and collaborations with individuals, organizations, and institutions that align with our mission and objectives. This document outlines the rules, responsibilities, and expectations for all collaborative efforts.


1. Purpose of Collaboration

1.1. Collaborations are intended to:

  • Advance the Foundation’s mission through shared expertise and resources.
  • Maximize impact on the communities we serve.
  • Foster innovation, learning, and growth for mutual benefit.

1.2. All collaborations must support ethical, lawful, and mission-driven goals.


2. Eligibility for Collaboration

2.1. Potential collaborators must demonstrate alignment with the Foundation’s values and objectives.

2.2. Collaborations are open to nonprofit organizations, corporations, academic institutions, and government agencies.

2.3. Individuals representing their organizations must provide appropriate authorization to enter into agreements with the Foundation.


3. Collaboration Agreement

3.1. All collaborations must be formalized through a written agreement outlining:

  • Goals and objectives.
  • Roles and responsibilities of each party.
  • Resource allocation and financial arrangements (if applicable).
  • Timelines and deliverables.
  • Confidentiality provisions.
  • Conflict resolution mechanisms.

3.2. Agreements must be signed by authorized representatives of both parties.


4. Code of Conduct

4.1. Collaborators are expected to:

  • Uphold the principles of honesty, integrity, and mutual respect.
  • Comply with all applicable laws, regulations, and Foundation policies.
  • Avoid conflicts of interest and disclose any potential conflicts promptly.

4.2. Discrimination, harassment, or unethical conduct in any form is strictly prohibited.


5. Use of Branding and Materials

5.1. Collaborators must obtain prior written consent before using the Foundation’s name, logo, or any proprietary materials.

5.2. All co-branded materials must align with the Foundation’s branding guidelines and be approved in advance.


6. Resource Sharing

6.1. Resources shared as part of a collaboration, including data, tools, and facilities, must be used exclusively for the agreed-upon purposes.

6.2. Misuse or misappropriation of resources will result in termination of the collaboration.


7. Confidentiality

7.1. Collaborators must protect and keep confidential any non-public information shared during the collaboration.

7.2. Confidentiality obligations shall continue after the termination of the collaboration, unless otherwise stated in the agreement.


8. Reporting and Accountability

8.1. Collaborators are required to provide periodic reports on progress, challenges, and outcomes as outlined in the agreement.

8.2. The Foundation reserves the right to audit or review activities related to the collaboration to ensure compliance with the agreed terms.


9. Termination of Collaboration

9.1. Either party may terminate the collaboration with prior written notice, subject to the terms specified in the agreement.

9.2. Grounds for immediate termination include:

  • Breach of contract or failure to meet obligations.
  • Unethical or unlawful conduct.
  • Actions that harm the Foundation’s reputation or mission.

9.3. Upon termination, all shared resources and proprietary materials must be returned, and confidentiality obligations shall remain in effect.


10. Dispute Resolution

10.1. In the event of a dispute, both parties agree to resolve the matter amicably through dialogue and negotiation.

10.2. If resolution cannot be achieved, disputes shall be addressed through mediation or arbitration, as specified in the agreement.
